# Terms of Use

### 1. Purpose, acceptance and service provider

These Terms govern access to and use of the alphayields.ai website/services, including, where applicable, associated digital interfaces (including dApp) and any functionalities made available therein (together, the “Services”).

The owner of the Services is alphayields.ai, with a registered office in Portugal, whereas (“AlphaYields”). By accessing the Services, the user accepts these Terms.

### 2. Nature of the Services and purely descriptive information

AlphaYields makes available information and functionalities relating to an ecosystem of liquid yield-bearing assets and strategies in a blockchain/DeFi environment, as described in informational materials (including the whitepaper).

Descriptive content is for information purposes and may be updated. In the event of any discrepancy between informational materials and these Terms, these Terms shall prevail.

### 3. Eligibility, lawful use and geographical restrictions

The User declares that they are at least 18 years old (or the age of majority in their jurisdiction) and have legal capacity to accept these Terms.

The User undertakes to use the Services lawfully. Access may be restricted in prohibited jurisdictions and for persons/entities subject to sanctions.

### 4. No advice and no offer

The Services do not constitute financial, legal, tax or accounting advice, nor personalised recommendations.

Unless expressly indicated and duly authorised, nothing in the Services constitutes a public offer, solicitation or regulated activity.

### 5. Risks: crypto-assets, DeFi, smart contracts and losses

The User acknowledges that crypto-assets and DeFi strategies involve high risk, including the risk of total loss, volatility, liquidity risks, failures/exploits, smart contract errors, slippage, transaction costs and market events.

The User accepts that decisions and transactions are made at their own risk.

### 6. Wallets, private keys and irreversibility

The User is solely responsible for their wallet, private keys, seed phrase and the security of their devices.

Blockchain transactions are, as a rule, irreversible.

### 7. Fees and costs

Fees charged by AlphaYields may apply (including, where applicable, a performance fee) as well as network and third-party costs (gas fees, bridging, protocol costs).

Fees and their method of calculation will be disclosed in the interface where applicable.

### 8. Intellectual property

The Website and its content (trade marks, text, software and design) are protected by intellectual property rights; the User obtains only a limited licence to use them for personal and lawful purposes.

### 9. Prohibited conduct

It is prohibited to use the Services for fraud, intrusion, exploitation of vulnerabilities, sanctions violations, or any unlawful purposes, including circumventing geoblocking by VPN/proxy.

### 10. Suspension, restriction and termination of access

### 11. Disclaimer of warranties

The Services are provided “as is” and “as available”, without any warranty of continuity, error-free operation or profitability.

### 12. Limitation of liability

To the maximum extent permitted by law, AlphaYields shall not be liable for indirect or consequential losses and does not guarantee results.

### 13. Governing law and jurisdiction

These Terms are governed by Portuguese law.
